Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of RealBio ("RealBio," "we," "us," or "the Platform"), a bio-link and lead-management tool for real estate professionals operating in Canada. By creating an account, publishing a page, or otherwise using RealBio, you ("Realtor," "you," or "User") agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Description of Service

RealBio provides website-building, lead-capture, and analytics tools that allow real estate agents to publish a public profile page, property listing pages, and related marketing content. RealBio is a technology tool provider only; it does not act as a brokerage, real estate board, or regulatory body, and does not review, verify, or endorse the accuracy of any content published by a User.

3. Real Estate Compliance & Limitation of Liability

RealBio provides publishing tools. It does not practise real estate, and it does not review or approve what you publish. (For how the parties' privacy roles are divided, see section 3b below: "technology tools" here is about real estate regulation, not data protection.)

The Realtor is solely and exclusively responsible for ensuring that any content they publish through the Platform (including, without limitation, listing details, pricing, photographs, property descriptions, brokerage logos, and marketing copy) complies at all times with the requirements of the Real Estate Council of Ontario ("RECO"), any equivalent provincial regulator, and the advertising, reciprocal-listing, and data display rules of their respective real estate board or Multiple Listing Service ("MLS").

RealBio does not review or pre-approve User content for regulatory compliance. RealBio is expressly released, held harmless, and shall bear no liability for any fine, penalty, disciplinary action, license suspension, or other sanction imposed on a Realtor by RECO, a real estate board, an MLS, a brokerage, or any other regulatory or governing authority arising from content the Realtor publishes or configures on the Platform. This limitation applies regardless of whether RealBio's tools were used to generate, format, or host that content.

3b. Data Protection Roles

Privacy law distinguishes the party that decides why andhow personal information is handled (the Data Controller) from the party that handles it on that party's behalf (the Data Processor). RealBio occupies both roles, depending on whose data is in question:

RealBio as Data Controller. RealBio is the Controller of Agent and Subscriber account data: your name, email, username, brokerage details, billing information, platform usage metrics, and service communications such as onboarding, system notices and product marketing sent to registered Agents. RealBio determines the purposes of that processing and is accountable for it.

RealBio as Data Processor. For personal information of leads and visitors collected through your public RealBio page, forms, AI assistant or property pages, the Agent is the Data Controller and RealBio acts solely as Processor, handling that information on the Agent's documented instructions. The terms governing that processing are set out in theData Processing Agreement, which forms part of these Terms and which you accept by using the Platform.

As Controller of your leads' personal information, you are responsible for having a lawful basis to collect and contact them, for responding to their requests about how you use their data, and for your own compliance with Canada's Anti-Spam Legislation and applicable privacy law. RealBio's forms capture and evidence express consent to help you meet that responsibility; they do not transfer it.

3c. Sub-processor Authorization

The Agent (as Data Controller) grants RealBio general authorization to engage third-party Sub-processors (including cloud hosting, database, email delivery, payment and AI infrastructure providers) where necessary to deliver the Service. RealBio remains fully responsible to the Agent for its Sub-processors' acts and omissions, and will impose on each of them data protection obligationsno less protective than those in these Terms and the Data Processing Agreement.

The Sub-processors currently engaged, and what each one receives, are listed in ourPrivacy Policy. RealBio will give at least 30 days' notice, by email to the address on your account, before adding or replacing a Sub-processor that handles lead data. If you reasonably object on data protection grounds within that period, you may terminate your subscription without penalty and receive a pro-rated refund of any prepaid fees. Continued use after the notice period constitutes acceptance.

4. User Accounts

You must provide accurate registration information and are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

Usernames. Your RealBio username (realbio.io/username) is licensed to you for use while your account remains active; it is not property you own. Username squatting (registering a username you do not intend to actively use, or registering one primarily to resell, block, or impersonate another party) is prohibited. You may not register or use a username that consists of, contains, or closely imitates a third-party trademark, brand, or brokerage name (for example, "/remax") unless you are authorized by that trademark or brokerage owner to represent them. RealBio may, at its discretion and without liability to you, suspend, reclaim, or reassign any username that violates this section or that infringes a third party's rights.

5. User-Generated Content

You retain ownership of the content you upload (photos, descriptions, logos, testimonials, and similar material). By publishing content through RealBio, you grant RealBio a limited, non-exclusive license to host, store, and display that content solely for the purpose of operating the Platform. You represent that you own or have the necessary rights and permissions (including brokerage and photography rights) to publish all content you submit.

5b. Leads, Consent & Anti-Spam Compliance

Leads captured through RealBio's own forms are collected with the visitor's express consent, and RealBio records the exact wording shown, the date and time, and the IP address it was given from. That record is available to you as evidence of consent.

Contacts you add yourself are your responsibility. When you enter a contact manually (from a business card, a paper sign-in sheet, a referral, or an import), RealBio has no way to verify that you have the consent Canada's Anti-Spam Legislation requires before you send a commercial electronic message. You are solely responsible for holding that consent, for the accuracy of what you enter, and for keeping your own record of it.

When a person withdraws consent, whether through our unsubscribe page or by telling you directly, that withdrawal is final. RealBio marks the record as withdrawn, stops notifying you about it, and stops sending it to any connected CRM; you must stop contacting that person through any channel, no later than 10 business days after the request. You may not use the Platform to send unsolicited commercial messages, and we may suspend an account that does.

6. Prohibited Uses

You may not use the Platform to publish false or misleading listing information, infringe on third-party intellectual property, violate any applicable real estate advertising regulation, harvest visitor data beyond what the Platform's built-in tools provide, or interfere with the security or normal operation of the service.

7. Fees & Subscriptions

Paid plans are billed on a recurring basis as described at checkout. Fees are non-refundable except where required by law. We may change pricing on a going-forward basis with reasonable notice.

Payment processing. All payments and subscription billing are processed externally by Stripe, Inc., a third-party payment processor. By subscribing to a paid plan, you agree to Stripe's own terms of service and privacy policy governing that transaction. RealBio does not store, process, or have access to your full credit card or payment card details. That information is collected and held directly by Stripe in accordance with applicable payment card industry (PCI) security standards.

8. Disclaimers

The Platform is provided "as is" and "as available," without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. RealBio does not guarantee uninterrupted or error-free operation of the Platform.

9. Indemnification

You agree to indemnify and hold RealBio, its officers, and employees harmless from any claim, liability, damage, or expense (including reasonable legal fees) arising out of your content, your use of the Platform, or your violation of any applicable law or real estate regulation.

10. Termination

We may suspend or terminate access to the Platform for any User who violates these Terms. You may cancel your account at any time from your dashboard settings.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
